CNP Assurances announces proposed acquisition in Brazil and Mexico

On 20 October 2026, CNP Assurances, a subsidiary of La Banque Postale, announced that it had signed an agreement with Prudential Financial to acquire its insurance businesses in Brazil and Mexico. The acquisition is expected to create value for the entire La Poste Groupe.

Summary

CNP Assurances announces the acquisition of Prudential Financial’s insurance businesses in Brazil and Mexico. By strengthening its presence in two major Latin American insurance markets, the La Banque Postale subsidiary is developing new growth drivers and diversifying its revenues. The project will also help strengthen La Poste Groupe’s bancassurance pillar.

CNP Assurances has signed an agreement with Prudential Financial, one of the world’s leading financial services companies, to acquire its businesses in Brazil and Mexico. The proposed transaction is a concrete step towards achieving La Banque Postale subsidiary’s ambition to strengthen its international positions and develop new, sustainable growth drivers that will contribute directly to the development of La Poste Groupe.

An essential need for new growth drivers

Operating in 17 countries, with 8,700 employees and €40 billion in revenue, CNP Assurances already has strong positions in Europe and Latin America. Its aim is to pursue growth opportunities in markets where demand for insurance is most dynamic.

CNP Assurances’ strategic plan, “Lead for Impact”, highlighted the need to prepare for the future, as some of its long-standing, strategic partnerships with the distribution networks for its insurance products could come to an end in the coming years. This transaction will enable CNP Assurances to anticipate this development and diversify its sources of revenue.

An already strong presence in Latin America

Latin America accounts for €6 billion, or 15% of CNP Assurances’ revenue. Present in Brazil for 25 years, the La Banque Postale subsidiary is currently the country’s third-largest insurer, with 15 million customers, and has built up strong expertise in this fast-growing, highly sought-after market offering significant opportunities.

By strengthening CNP Assurances’ presence in Brazil and opening up the Mexican market, “this agreement opens up new prospects for our bancassurance business in a particularly dynamic market,” said Stéphane Dedeyan, Chairman of the Executive Board of La Banque Postale.

And for good reason: these two countries account for almost two-thirds of the regional insurance market and are benefiting in particular from the development of a large middle class. In 2025, Prudential Financial generated €1.3 billion in revenue across the two countries.

A value-creating transaction for La Poste Groupe

This transaction, which is strategic for the future of CNP Assurances, also represents a positive investment in the development of La Poste Groupe as a whole.

This project is fully aligned with our ‘Réussir ensemble – Ambitions 2031’ strategic plan, as it strengthens our bancassurance pillar. By developing its business and financial performance, CNP Assurances is sustainably strengthening La Banque Postale’s business model and, beyond that, our Group’s ability to finance its activities, transformation and jobs.

The strength and growth of the La Banque Postale subsidiary are indeed a major asset for the Group. By developing its business and financial performance, CNP Assurances is sustainably strengthening La Banque Postale’s business model and, in turn, that of La Poste Groupe.

In practical terms, thanks to the sound management of the funds entrusted to it and the earnings it generates, CNP Assurances can pay a dividend to La Banque Postale, which in turn pays a dividend to its parent company, amounting to nearly €800 million in 2025.

This contribution is key to enabling La Poste Groupe to continue its activities and transformation, at a time when mail volumes have fallen by two-thirds in 15 years and the compensation paid by the French State for the provision of its public service missions falls €1 billion short of their annual cost.

Lastly, the transaction will be financed using CNP Assurances’ own funds, and its capital coverage ratio will remain robust. It will have no impact on La Poste Groupe’s debt or on its capacity to invest in support of its industrial and commercial activities in France and Europe.
